Terms of Service

These Terms of Service govern your use of the Secord Digital website and, where applicable, services provided by Secord Digital. Specific client projects may also be governed by a proposal, statement of work, order form, or other written agreement. If there is a conflict, the terms of that project-specific agreement will control for that project.
1. Our Services
Secord Digital provides website design and development, lead-capture systems, customer follow-up automations, CRM integrations, AI-assisted chat and voice solutions, and related digital services for businesses. The exact scope, deliverables, timeline, fees, and ongoing support for a client project will be described in the applicable proposal or service agreement.
2. Quotes, Proposals, and Project Changes
Pricing shown on this website is general information unless expressly stated otherwise. A project begins only after the parties agree to the applicable scope and payment terms. Requests outside the agreed scope may require a revised quote, additional fee, or updated timeline. We will communicate material changes before performing additional billable work.
3. Client Responsibilities
Clients are responsible for providing information, content, approvals, account access, and other materials reasonably required to complete the work. Clients also represent that they have the right to use any text, images, trademarks, customer data, or other materials they provide to Secord Digital.
Clients remain responsible for their own business practices, customer communications, legal notices, consent requirements, and compliance obligations, including those relating to marketing, privacy, telecommunications, and the use of automated or AI-assisted systems.
4. Fees and Payment
Fees, deposits, billing schedules, recurring charges, and any cancellation terms are set out in the applicable proposal, checkout page, invoice, or service agreement. Unless otherwise agreed in writing, amounts already paid for completed work or third-party costs are non-refundable. Secord Digital may pause work or services on overdue accounts after reasonable notice.
5. Ongoing and Third-Party Services
Some services depend on third-party platforms, hosting providers, telecommunications providers, AI services, payment processors, domain registrars, email providers, or other software. Those services may have their own terms, fees, limits, outages, and policy changes. Secord Digital is not responsible for a third party's availability, pricing changes, policy decisions, or service interruptions, but we will make reasonable efforts to help address issues within the scope of the client's plan.
6. AI and Automation
AI and automation tools can improve response times and reduce manual work, but they are not error-free. Automated systems may occasionally misunderstand a request, generate an inaccurate response, fail to deliver a message, or be affected by third-party service limitations. Clients should use appropriate human oversight for sensitive, high-risk, regulated, or consequential communications and decisions.
7. No Guarantee of Business Results
Secord Digital designs systems intended to improve how businesses attract, capture, and respond to enquiries. We do not guarantee a specific number of leads, bookings, customers, revenue, search rankings, response rates, or other business outcomes. Results depend on many factors outside our control, including market conditions, traffic, pricing, competition, reputation, staffing, and how the client uses the delivered system.
8. Intellectual Property
Ownership and licensing for custom project deliverables will be described in the applicable proposal or service agreement. Secord Digital retains ownership of its pre-existing tools, templates, systems, know-how, reusable code, processes, and other materials that were not created exclusively for a particular client. Third-party software, fonts, images, plugins, and services remain subject to their respective licences.
9. Confidentiality and Data
Each party should use reasonable care to protect confidential information received from the other and use it only as needed to perform or receive the services. Our handling of personal information collected through this website is also described in our Privacy Policy.
10. Acceptable Use
You may not use this website or any Secord Digital service to violate applicable law, infringe another person's rights, distribute malicious software, gain unauthorized access to systems or data, or send unlawful, deceptive, abusive, or fraudulent communications.
Secord Digital may refuse, suspend, or terminate work that we reasonably believe would require us to facilitate unlawful or abusive activity.
11. Warranties and Limitation of Liability
Except for commitments expressly stated in a written project agreement, the website and services are provided on an "as available" basis without additional warranties, to the extent permitted by law.
To the extent permitted by law, Secord Digital will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from the website or services. Secord Digital's aggregate liability for a particular paid service will not exceed the amount paid to Secord Digital for that service during the six months immediately preceding the event giving rise to the claim, unless applicable law requires otherwise.
12. Suspension and Termination
Either party may end an ongoing service according to the cancellation terms in the applicable agreement. Secord Digital may suspend or terminate access where invoices remain unpaid, required access or cooperation is not provided, or use of the service creates a legal, security, or abuse risk. Any fees or obligations that accrued before termination remain due.
13. Changes to These Terms
We may update these Terms from time to time. The current version will be posted on this page with the date of the latest update. Changes to these website Terms do not retroactively change a separately signed client agreement unless both parties agree otherwise.
14. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Any dispute relating to these Terms will be subject to the courts of Ontario, unless the parties agree to another dispute-resolution process in writing.
